Item 5.07. | Submission of Matters to a Vote of Security Holders. |
As previously disclosed, including in the final Prospectus/Offer to Exchange filed by the Company with the Securities and Exchange Commission on June 28, 2022, in connection with the Companys offer to each holder of the Companys outstanding public warrants to purchase shares of Class A common stock, par value $0.0001 per share (Class A Common Stock), of the Company the opportunity to receive 0.240 shares of Class A Common Stock in exchange for every outstanding public warrant tendered by the holder and exchanged pursuant to the offer (the Offer), the Company solicited consents (the Consent Solicitation) from holders of its outstanding public warrants to amend the warrant agreement governing the public warrants (the Warrant Amendment) to permit the Company to require that each public warrant outstanding upon the closing of the Offer be converted into 0.213 shares of Class A Common Stock.
The Offer and Consent Solicitation expired at 11:59 p.m., Eastern Daylight Time, on June 29, 2022. A total of 11,365,913 public warrants, or approximately 62.7% of the outstanding public warrants, were properly tendered and not withdrawn in the Offer. Because the Company received the approval of approximately 62.7% of the outstanding public warrants to the Warrant Amendment, which is less than the 65% required to effect the Warrant Amendment, the Warrant Amendment will not go into effect.
